Confidentiality & NDA Requirements
Public website use does not create confidentiality. Protected diligence requires a separate written agreement signed by the relevant parties.
Effective September 21, 20261. No confidentiality through public channels
Information submitted through the public website, AI concierge, social media, or unsolicited email is not automatically confidential. Do not send trade secrets, inventions, proprietary plans, financial records, personal identifiers, or other sensitive information until Komakon has approved the disclosure process in writing.
2. Signed NDA required
Before Komakon or a portfolio entity provides material nonpublic information, prospective investors, partners, vendors, advisers, and other recipients may be required to sign a separate nondisclosure agreement. A website visit, checked box, email footer, or this notice is not a substitute for an executed NDA.
The NDA must identify the correct disclosing and receiving parties. Komakon LLC and each portfolio entity are separate parties unless the signed agreement expressly includes them.
3. Expected NDA protections
- Use confidential information only for the specifically permitted evaluation or business purpose.
- Protect it with at least reasonable care and limit access to representatives who need to know and are bound by comparable duties.
- Do not copy, disclose, publish, reverse engineer, exploit, or use it competitively except as expressly permitted.
- Promptly report suspected unauthorized access, loss, or disclosure.
- Return or destroy materials on request, subject to lawful archival and compliance exceptions.
- Recognize that disclosure grants no intellectual-property license, ownership right, commitment, or obligation to proceed.
4. Common exclusions
A signed NDA will ordinarily exclude information the recipient can document was already lawfully known without restriction, becomes public without breach, is received lawfully from an unrestricted third party, or is independently developed without use of confidential information.
5. Legally required disclosure
If disclosure is legally required, the recipient should provide prompt notice where lawful, disclose only what is required, and reasonably cooperate in seeking protective treatment. The signed agreement controls the exact procedure.
6. Term, remedies, and governing terms
The duration, trade-secret treatment, remedies, venue, governing law, non-solicitation provisions, and other obligations must be stated in the signed NDA and reviewed for the specific relationship. Confidentiality obligations may survive the end of discussions.
Unauthorized disclosure may cause harm for which monetary damages are inadequate, and a signed NDA may permit injunctive relief in addition to other lawful remedies.
7. No obligation to proceed
Confidential discussions do not require either party to complete an investment, partnership, purchase, license, employment relationship, or other transaction. Only a later definitive written agreement signed by authorized representatives can create that obligation.
8. Requesting an NDA
Contact support@komakon.com with the names of the parties, the purpose of the discussion, and the requested participants. Do not include confidential attachments in the initial request.
