Investor Disclosures & Risk Factors

Important information for anyone reviewing Komakon’s portfolio, roadmap, or a potential future investment opportunity.

Effective September 21, 2026
Legal review required

This document is a general informational template and is not legal advice. Have qualified Illinois counsel review it before relying on it for legal, privacy, securities, or contractual compliance.

1. No offer or solicitation

This website is not an offer to sell or a solicitation of an offer to buy securities, and no website statement should be relied upon as offering material. An investment opportunity, if any, may be presented only through definitive confidential documents supplied by an authorized representative and in compliance with applicable securities laws.

Submitting an inquiry, receiving information, or participating in a conversation does not create a right to invest, an allocation, a partnership, an advisory relationship, or any obligation for Komakon to proceed.

2. Eligibility and independent advice

Potential opportunities may be limited to accredited investors or other legally eligible persons. Komakon may request identity, eligibility, suitability, and source-of-funds information before providing or accepting investment materials.

Prospective investors must conduct independent due diligence and consult their own legal, tax, accounting, and financial advisers. Komakon and its representatives do not act as your adviser or fiduciary.

3. High-risk and illiquid investment

  • Early-stage and future-facing businesses have a substantial risk of partial or total loss.
  • There may be no public market, transfer rights may be restricted, and capital may be illiquid for an indefinite period.
  • Dividends, distributions, exits, valuations, revenue, profitability, and returns are not guaranteed.
  • Additional financing may dilute ownership, change rights, or be unavailable when needed.
  • Portfolio businesses may require significant capital before generating revenue and may never become commercially viable.

4. Forward-looking statements

Roadmaps, launch dates, images, market descriptions, forecasts, plans, goals, and statements about future products or performance are forward-looking and based on assumptions that may prove incorrect. Actual results may differ materially because of known and unknown risks.

Komakon undertakes no obligation to update public forward-looking statements except where required by law. Website concepts and generated imagery are illustrative and are not evidence of completed products, owned facilities, customers, revenue, or operating scale.

5. Portfolio and operating risks

  • Technology and AI: rapid obsolescence, model errors, cybersecurity, data rights, compute costs, regulation, safety, and reliance on third-party platforms.
  • Media and entertainment: audience volatility, intellectual-property rights, distribution dependence, content costs, and changing platform rules.
  • Mobility and robotics: safety, testing, manufacturing, supply chains, infrastructure, insurance, product liability, certification, and regulatory approval.
  • Energy: capital intensity, commodity and power markets, permitting, interconnection, environmental requirements, technology performance, and policy changes.
  • Properties: interest rates, financing, zoning, construction, environmental conditions, insurance, occupancy, market cycles, and project execution.
  • Holding-company structure: each portfolio entity may have separate ownership, obligations, risks, financing, governance, and creditors. An interest in one entity does not automatically provide an interest in another.

6. Management and conflicts

Founder-led and developing businesses may depend heavily on a small number of people. Management attention and capital may be allocated among portfolio opportunities, creating actual or potential conflicts. Definitive offering materials, if any, should describe applicable governance and conflicts.

7. Information limitations

Public website information may be incomplete, preliminary, outdated, generated with AI assistance, or superseded by confidential materials. Only signed definitive agreements govern an investment. In a conflict, definitive agreements control.

8. Confidentiality and diligence

Access to nonpublic business plans, financial information, intellectual property, data rooms, product roadmaps, or offering materials may require identity verification and a separately signed nondisclosure agreement. Access may be declined or withdrawn.

9. Regulatory and tax matters

Securities, tax, foreign investment, sanctions, anti-money-laundering, and industry-specific rules may affect eligibility, structure, timing, transferability, and returns. Laws can change and may be applied differently across jurisdictions.

10. Contact

Investor inquiries may be sent to support@komakon.com. Do not send confidential information until Komakon confirms a secure process and, where required, both parties have signed an NDA.
